Terms of Service

Legix is software for accounting firms, provided by Sous, Inc. doing business as Legix. This page is the agreement between us and the firm that uses Legix: what the software does, what it does not do, and who is responsible for what. If you are a client of a firm that uses Legix, this agreement is between Legix and your firm, not you.

Agreement

Legix is provided by Sous, Inc., a Delaware corporation doing business as Legix ("Legix," "we"). These terms are an agreement between Legix and the firm that uses it ("you," "your firm"). By creating an account or using Legix you accept them, and if you accept on behalf of a firm you confirm you can bind it.

Legix is for businesses, not consumers. If we sign a separate written agreement with your firm, that agreement controls where it conflicts with these terms.

What Legix is, and what it is not

Legix connects to accounting and banking systems your firm is authorized to access, classifies transactions, proposes journal entries and answers questions about the books.

  • Legix is not an accounting firm or a CPA firm, and is not licensed by any board of accountancy. We perform no audit, attest, tax or advisory service, and using Legix creates no professional engagement.
  • Outputs come from software, including AI, and can be wrong. Before you rely on any output, and always before a tax filing, a financial statement or a client deliverable, a qualified person at your firm must review it. Your firm remains responsible for what it issues.
  • The connected accounting system stays your system of record. We are not your books of record and not a backup service.

Your account

You are responsible for your firm's accounts, credentials and users. Any member of your firm's workspace can reach any client connected to it. Tell us at [email protected] if an account may be compromised.

We may suspend a user, a connection or an account if we reasonably believe it is necessary to protect the service, other customers or your data, or if the law or one of our providers requires it. We will tell you why and restore access when the cause is resolved.

Your data

You own it. Your firm owns the data it connects or submits and the work product it creates using Legix. We take only the rights needed to run the service, and we use your data only to provide and support it, as described in our Privacy Policy.

Your authority. You confirm that your firm has the rights and consents needed to connect each client's systems, including any consent or notice required by your engagement terms, your professional standards or law. We have no professional relationship with your clients, and their requests about their data come to you.

AI. Neither Legix nor our model providers will use your data to train or improve any model shared across our customers. Legix does learn inside your account so it gets better at your clients over time, and that learning stays in your workspace. Model providers hold request data briefly for abuse monitoring under their own terms. We store and process your data in the United States, including AI processing.

Export and deletion. Export any time. After your account ends you have 30 days to export, and we delete your data within 90 days of that window closing or of your written request, confirmed in writing. If Legix is acquired or shuts down, you get notice where possible, an export window, and deletion on request.

Acceptable use

Do not: connect books your firm is not authorized to access; resell Legix as your own service without our agreement; scrape, reverse engineer or circumvent access controls; use Legix or its outputs to build a competing product or model; point Legix or your own automation at a third-party system whose terms prohibit automated access; use Legix to give advice requiring a license without a licensed professional reviewing it; deploy a client-facing agent without telling people it is AI; or use the service unlawfully.

Services we depend on

Intuit is not a party to these terms. Your use of QuickBooks Online is governed by your agreement with Intuit, and Intuit may change, restrict or end our access to its API at any time. We do not guarantee its availability, or of any Legix feature that depends on it. The same applies to Plaid under its own terms. We are not responsible for a third-party service's outages or changes.

7.

Warranties and liability

We will provide the service with reasonable skill and care. Otherwise the service is provided "as is," and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, that it will catch every error in your clients' books, or that any output is accurate or complete.

Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Each party's total liability is limited to the fees paid or payable by your firm in the 12 months before the claim. These limits do not apply to your payment obligations, either party's indemnification obligations, breach of confidentiality, or liability that cannot be limited by law.

Fees, term and termination

Legix does not process payments today. Any fees are set in a separate written order, and we will not start charging an existing customer without at least 30 days' notice.

Either party may terminate on written notice: 30 days where a signed order has a term, immediately otherwise. Either may terminate for a material breach that is not cured within 30 days of notice. On termination your access ends and the export and deletion timelines in section 4 begin. Sections 2, 4, 7 and 9 survive.

9.

Governing law, changes and contact

These terms are governed by the laws of the State of Delaware, and any dispute will be brought in the state or federal courts located in Delaware.

We may change these terms. For changes that materially expand our rights over your data or reduce our obligations, you get at least 30 days' notice. Other changes take effect when posted.
